WPX Energy Announces Proposed Public Offering of Senior Unsecured Notes

TULSA, Okla.--(BUSINESS WIRE)--WPX Energy (NYSE:WPX) announced today that it has commenced a public offering of $900 million aggregate principal amount of senior unsecured notes.


The proceeds of the proposed offering will be deposited into an escrow account upon the closing of the offering. Upon release from escrow, WPX Energy intends to use the proceeds to finance a portion of the cash consideration of the previously announced acquisition of Felix Energy Holdings II, LLC (“Felix”) and to pay related fees and expenses. The offering is not contingent upon the consummation of the acquisition of Felix, although the notes are subject to a special mandatory redemption if the Felix acquisition is not consummated.

Barclays Capital Inc. and Citigroup Global Markets Inc. are acting as joint lead book-running managers for the offering.
